Terms of Use and Licence

These are the terms for ISPs that try or use OK ISP SUITE. Subscribers of an internet provider should read the terms of their provider.

1. These terms

These terms apply between ONE-KONEK NETWORK, INC. ("we"), the maker of OK ISP SUITE, and the company that uses OK ISP SUITE or its demo ("you", the "Customer"). An order form, quotation or signed agreement for your licence ("Order") is part of these terms; if they differ, the Order prevails. The person who accepts these terms confirms that they may do so for the Customer.

These terms are separate from the terms between you and your own subscribers. You set and publish your own Terms and Conditions and Privacy Notice for your subscribers (OK ISP SUITE provides editable templates).

2. The demo

• The demo site is for trying OK ISP SUITE with sample data. Its accounts are shared with other visitors: do not enter real personal data, passwords or confidential information.
• The demo goes back to its sample data 2 hours after the last visitor signs out; anything you add is deleted. Connections to routers, SMS, email and payment gateways are turned off on the demo.
• Do not try to break, overload or misuse the demo, or use it for anything other than evaluating OK ISP SUITE.

3. Licence

• We grant you a non-exclusive, non-transferable licence to install and use OK ISP SUITE for your own internet service business, on the installation the licence is issued for, within the plan, number of active subscribers and period stated in your licence or Order.
• A new installation starts with a 30-day trial for up to 50 active subscribers. After that a licence is needed to keep adding subscribers. If a licence ends and is not renewed within 14 days, adding new subscribers is paused; your data and everything else keep working, and nothing is deleted.
• OK ISP SUITE, its source code, designs, documentation, the name "OK ISP SUITE" and the logos remain ours (or our licensors'). You receive a licence to use, not ownership.

4. What you may not do

• Copy, resell, rent, share or sublicense OK ISP SUITE or a licence to another company or installation;
• Remove or bypass the licence check, or change, decompile or reverse-engineer the system except as the law expressly allows;
• Use OK ISP SUITE for anything unlawful, including collecting personal data without a lawful basis, or sending spam;
• Remove our copyright and licence notices.

5. Your responsibilities

• Your server or computer, internet connection, domain, SSL certificate, power, and the security of your passwords and staff accounts;
• Your routers, OLTs and network equipment, and the settings you apply to them through OK ISP SUITE (we recommend testing changes and keeping router backups);
• Keeping backups of your data (OK ISP SUITE makes them daily; keep an offsite copy, e.g. Google Drive, and the encryption passphrase safe);
• The accuracy of your prices, bills, taxes and the documents you issue, and your registrations and compliance with the NTC, BIR, NPC, DTI and local rules;
• Your contracts with third parties you connect (SMS, email, payment gateways, chat platforms, map providers) and their fees.

6. Your data

Your data and your subscribers' data belong to you. We access it only as described in section 6 of the OK ISP SUITE Privacy Notice (support, installation, migration or agreed hosting), as your processor. When your licence ends you keep your installation and data; you may export your records and backups at any time.

7. Updates and support

During the period stated in your Order you receive updates (new versions, fixes and security patches) and support through the channels and hours in your Order. Updates are installed with the ONE-KONEK update tool; take a backup first. Support does not cover problems caused by changes made by others, unsupported hardware, or third-party services.

8. Fees and payment

Fees, plans and payment terms are those in your quotation or Order. Unless the Order says otherwise, fees are paid in advance, are not refundable once the licence is issued, and exclude taxes and the third-party fees in section 5. Late payment may delay renewals and support.

9. Warranty

We will fix reproducible errors in OK ISP SUITE that we confirm, within a reasonable time. Apart from that, OK ISP SUITE is provided "as is": we do not promise that it will be uninterrupted or error-free, or that it fits every business need. Test it on the demo or during the trial before you rely on it.

10. Limitation of liability

We are not liable for indirect or consequential losses (lost profit, lost revenue, lost data, or claims of your subscribers), or for losses caused by your network equipment, third-party services, or changes made by others. Our total liability for any claim is limited to the fees you paid us for OK ISP SUITE in the 12 months before the claim, except where the law does not allow such a limit.

11. Confidentiality

Each of us keeps the other's non-public information confidential and uses it only for this relationship, during and after it.

12. Ending

You may stop using OK ISP SUITE at any time. We may end or suspend a licence if you seriously breach these terms (for example sharing a licence or bypassing the licence check) and do not fix it within 15 days of our written notice. Sections 3 (ownership), 6, 10, 11 and 13 continue after the end.

13. Governing law and disputes

These terms are governed by the laws of the Republic of the Philippines. We will first try to settle any dispute by talking in good faith; if that fails, cases shall be filed in the proper courts of the Province of Bulacan.

14. Changes

We may update these terms; the version and date are shown above. A change does not affect a licence period you already paid for unless you agree.
